# How our matchmaking works

We introduce practice owners directly to buyers who fit their goals, one conversation at a time. Here's how it works, who pays us, and what happens after the introduction.

## How matchmaking differs from a listing

Our clients are national and regional groups, private-equity-backed platforms, and brokers who represent individual buyers. Each tells us what kind of practice they want.

A listing puts a practice in front of as many buyers as possible. Matchmaking works the other way round: we start with what you want from a sale, find the buyer who fits it, and introduce you to that one buyer. Fewer conversations, and every one of them relevant.

Nothing is listed publicly, your practice is never sent around to a list of buyers, and you decide at every step whether to go further.

## Three phases, at your pace

Most owners move through three phases. You can stop at any point.

1. ### Understand your goals

A confidential, no-obligation conversation about your practice and what you want from a sale.

    - How the practice runs and performs
    - Your ideal timing and how you'd like to hand over
    - What matters most: value, team, autonomy, your role
    - Your deal-breakers
2. ### Find the right buyer

We compare your practice and priorities with what each buyer we work with is looking for, well beyond size and revenue.

    - Where they're actively buying
    - Their culture, and how they treat staff
    - How quickly they acquire
    - What they expect from you after the sale
3. ### Make the introduction

When there's a fit and you're ready, we brief the buyer and set up the first conversation. Then we step back, and you talk directly.

    - One introduction at a time, never a group showing
    - Your privacy and your position stay protected
    - If it doesn't lead to a viable offer, we widen the search
    - No obligation to go further, at any point

## What makes a strong match

Not every pairing makes sense. Before we introduce you, we check six things.

### Price and budget

The buyer's budget is in line with your expectations.

### Timing

Your timeline fits the buyer's pace.

### Geography

The buyer is actively acquiring in your area.

### Continuity

Your team, standard of care and day-to-day operations carry on after closing.

### Culture

Shared values on patient care, staff and how a practice should run.

### Flexible terms

Both sides are open to terms that fit, such as staying on, a phased handover or keeping the building.

## What happens after the introduction

Once you are introduced, you and the buyer talk directly. Nothing is agreed until you choose to go further.

1. ### A first call

Usually 30 to 60 minutes with the decision-maker, to see whether you are a fit. No commitment.

2. ### Financials

If you both want to go further, the buyer asks for 2 to 3 years of P&Ls and a practice overview.

3. ### Letter of intent

The buyer puts an offer in writing, usually non-binding. Review it with your attorney and accountant.

4. ### Due diligence and closing

The buyer verifies the details, attorneys finalize the agreements, and the sale closes on your timeline.

We stay available throughout: to answer questions, help you read where things stand, and keep things moving if talks stall. If the first buyer isn't right, we can introduce you to another.

## What a direct introduction means

- Nothing is listed or announced.
- One introduction at a time, to a buyer who fits.
- No cost to the seller.
- No agreement to sign to get started.
- You set the pace, and you can stop at any time.
- If a broker would serve you better, we'll introduce you to one we trust.

## Who pays us

There is no cost to the seller: no listing fee, no retainer and no commission from your proceeds. We're paid by our clients: buyers who want to speak with high-quality practice owners.

## Questions about how we work

### Are you a broker?

No. A broker usually markets a practice to a wide pool of buyers and runs the sale process. We make targeted, one-to-one introductions to buyers who fit your goals, and the buyer leads the transaction from there. We don't list practices publicly, and you don't sign an agreement with us to get started.

### I'm not sure I'm ready. Can we still talk?

Yes, and earlier is better. We'll give you candid feedback on timing and on what buyers would want to see, with no cost and no commitment.

### What do you need from me to start?

Just the basics: the size of your practice, property, goals and timing. No financials until there's a fit.

### How quickly will I be introduced?

95% of qualified owners receive an introduction within 24 hours of our initial call.

### Do you introduce me to several buyers at once?

No. We start with one well-matched buyer. It protects your privacy and avoids the impression that your practice is being shopped around. If that conversation doesn't lead to a viable offer, we widen the search.

### How do you choose which buyer to introduce?

We match what you want from the sale (value, team, autonomy, your role, timing) with what each buyer is looking for, including where they buy, their culture and how they treat staff.

### How do you stay involved after the introduction?

You talk to the buyer directly, but we stay available to answer questions, help you read where things stand and keep the conversation moving.

### What if you don't have a buyer who fits?

We'll tell you plainly. If a broker would serve you better, we'll introduce you to one we trust.

### Do I have to sell if I talk to you?

No. The call is exploratory, and you decide whether, when and with whom to go further.
